董事会结构对行为影响的实证分析

董事会结构是企业的微观制度,董事会行为包括了战略行为与控制行为。以2006—2008年中国上市公司为样本,实证分析董事会结构对董事会行为的影响。回归结果发现,董事会专业性、总经理/董事两职合一、激励性、国际化程度分别与董事会战略行为显著正相关;董事会独立性、专业性、激励性分别与董事会控制行为显著正相关。研究表明,董事会结构是董事会行为的前提和基础,董事会行为是董事会结构有效作用的外在表现形式。
