法律如何面对公益告发?——法理与制度的框架性分析

摘要：

公益告发制度是提升公司治理成效的一条重要路径。在法律构造上,公益告发的主体是以公司员工为主的可了解公司情况的内部人员;主观上需为"善意"且"合理相信";告发的对象事实为已经发生或者可能会发生的公司不法、失当行为;在处理程序上,根据告发者受到法律保护的门槛的高低之别而分为内部告发与外部告发,公司应当结合内部控制的要求设置内部告发机制。为了发挥公益告发制度的功能,应当注重激励告发者并为告发者提供法律保护措施。公益告发制度在公、私部门皆有广泛的应用前景,我国在这方面亟待进行相关立法。
