独立董事有效性:一个制度经济学视角的分析

Owing to dominance of state-owned shares in listed company,ubiquitous internal manipulation, and relative inefficacy of the dualistic supervisory institution of director board,independent director system has been introduced to China,in order to compensate the inefficency of surpervisory function of the board of supervisors and to enforce the internal supervision of director board.From the view of institutional economics,this article makes a deep analysis on the barriers affecting the function of independent director and puts forward count ermeasures.
