摘要：

基于区块链技术在虚拟货币场景中的最新应用实践,分析了首次代币公开发行的内在逻辑、发展类型、运作模式和定性难题,结合ICO监管的国际经验和规范路径,对其在我国发展过程中存在的法律风险和监管误区进行深入剖析,主张调整"一刀切"认定为非法的监管路径,参照美国SEC监管模式,以修订《证券法》为契机,扩大证券定义范围,将ICO融资模式纳入证券法的监管渠道,并从准入标准、平台管理、技术防范和投资者保护等方面提出符合我国国情的监管方法设计。
