摘要：

通过手工收集创业板公司风险投资辛迪加数据,本文研究了辛迪加成员背景、内部组织结构与公司IPO抑价间的关系.经验研究发现,辛迪加、主导机构和主导背景的规模均能有效提升公司质量.政府作为主导机构或主导背景均不能改善公司绩效,而外资在这两方面都是有效的投资者.此外,混合背景结构辛迪加比单一背景结构辛迪加对公司的贡献更大.
