摘要：

区块链是一项具有变革性的基础技术,其对世界的潜在影响堪比互联网。本质上来讲,区块链和法律都是信任机制,两者关系的不确定性引致对区块链两极分化的评价。区块链利用分布式分类账、共识和智能合约等特征实现避免对中央机关的依赖以及建立普遍诚信的价值主张。但区块链信任系统并非无懈可击,分类账、智能合约、边缘服务提供商以及代币销售各层次各有风险,网络解放和政府架空无异于天方夜谭,法律和监管介入的需求毋庸置疑。监管可能抑制创新并引起管辖权竞争问题,但并非无解之局。区块链可以补充法律、与之互补甚至取而代之,两者分别有其治理局限性,融合治理方为解决之道,而这可以通过法律代码化与代码法律化两种模式实现。
