企业社会责任与跨国并购的关系:研究综述与展望

摘要
企业在跨国并购过程中必须平衡好经济利益诉求与社会责任履行。现有文献分别就跨国并购、企业社会责任展开了大量研究,但直接探讨企业社会责任与跨国并购之间关系的文献却比较零散,没有形成完整的分析框架。本文在充分收集和回顾国内外相关文献的基础上,将现有涉及企业社会责任与跨国并购之间关系的研究进行了系统梳理,概括为两大研究领域:(1)跨国并购情境下研究企业社会责任的必要性;(2)企业社会责任与跨国并购之间关系(从跨国并购流程和社会责任履行方两个维度进行细分)。在梳理完已有研究脉络之后,本文总结了企业社会责任与跨国并购关系的研究框架,识别出现有研究的不足之处,并在此基础上提出该领域未来的五个研究方向,期望管理学者进一步深入探讨企业社会责任与跨国并购之间的作用机制,呼吁实践者在跨国并购中加强对企业社会责任的思考。
