摘要：

本文研究了董事长生产、研发、销售、财务、管理和法律职能背景对企业战略的影响。我们认为董事长的企业战略偏好在一定程度上取决于他们的职能背景,并且如果总经理与董事长职能背景相似,这一作用会被放大;相反在国有企业和垄断性行业中,董事长职能背景会因为管理自主权的限制对企业战略的影响更小。我们使用中国上市公司的数据对研究假说进行了检验,得到了支持假说的、稳健的实证结果。本文揭示了高管背景如何影响战略的权变因素,进而对高阶梯队的运作有理论上的贡献。
