摘要：

机构投资者与公司治理的关系,在学界和业界是关注度很高的重要话题。国外的相关研究在严格区分机构投资者类型的基础上探讨了机构投资者的治理动机、治理机制和治理后果,相比之下国内相关文献则着重于对治理后果的研究,而对机构投资者的类型及其治理动机和治理机制缺乏深入有效的分析。基于以上对国内外文献的分析和评述,构建了机构投资者参与公司治理的研究框架。
