中国企业跨国并购后组织整合制度逻辑变革研究:混合逻辑的视角

摘要
在中国企业大规模的跨国并购浪潮中,如何对目标企业进行有效的组织整合是决定中国企业并购成效及未来高度的决定性因素。本文从制度逻辑的视角出发,通过对吉利完成并购沃尔沃后的组织整合过程展开分析,构建了一个企业跨国并购完成后的组织整合制度逻辑变革模型,并从业务单元和组织管控两个层面探讨了这种制度逻辑变革的机制问题。研究发现,并购完成后的组织整合制度逻辑变革过程中涌现出了结构混合逻辑、交互混合逻辑以及"结构+交互"混合逻辑3种逻辑决策形态。在不同的制度逻辑决策形态中,不仅业务单元之间逻辑决策紧密度差异大,而且业务单元与组织管控之间的跨层次性影响机制也显著不同。研究结论对制度逻辑理论中的混合逻辑分析和跨层次逻辑决策研究做出了理论贡献,同时也对中国企业提升跨国并购成效具有启发意义。
