股东资源、实际控制与公司控制权争夺——基于雷士照明的案例研究

摘要：

已有关于股东关系和控制权配置的研究大多基于股东的财务资本投入。基于股东资源并以民营上市公司雷士照明的控制权争夺为案例,分析民营企业股东间发生控制权争夺的原因,研究发现:民营企业大股东之间具有"物以类聚、人以群分"的群体属性,维持其关系的核心在于股东资源及其相互依赖性。大股东间矛盾及其控制权争夺,源于股东资源投入与其期望回报间的"差异",当掌握公司实际控制权时,大股东利用权力谋取私利的内在动机将可能显性化,最终导致公司控制权争夺。而这种控制权争夺影响着大股东间关系的再协调和公司治理的动态调整。
